The Downham and Stoke Ferry Railway Company was incorporated by act of 24th July 1879 and the line worked by Great Eastern Railway Company by agreement.

The company was sold to Great Eastern Railway Company as from 1st July 1897 and was wound up and dissolved under provisions of Section 43 of Great Eastern Railway (General Powers) Act 15th July 1897.
