Incorporated 30th April 1793 (33 Geo III, cap.94) as "Company of Proprietors of Grantham Canal Navigation". Company was acquired, under Ambergate Nottingham and Boston and Eastern Junction Railway Act 16th July 1846, by Ambergate Nottingham and Boston and Eastern Junction Railway Company.

After Grantham Canal Company and Nottingham Canal Company had, by virtue of this Act, been conveyed to said Railway Company (see Section 84), name of Company was to be changed to "Ambergate Nottingham and Boston and Eastern Junction Railway and Canal Company".

Committee of Management at time of execution of conveyance of Grantham Canal to Ambergate Nottingham and Boston and Eastern Junction Railway Company was to continue to be Committee of Management of Canal Company for purposes of act with same or like powers of meeting (see Section 99).

Canal Company was to continue as body corporate until all debts &c had been received or recovered but not beyond period of 3 years. After execution of necessary conveyance to new company and receipt of all monies or at the expiry of 3 years, Canal Company was to be dissolved (Sections 104-106). Completion of conveyance was delayed owing to differences and litigation - see preamble to "Ambergate Railway Company's Re-Direction of Capital Act" 24th July 1854. Completion of purchase of Nottingham Canal took place on 2nd January 1855 (see page 92 of Nottingham Canal Minutes, Vol. 6), and Grantham Canal purchase was completed on or about same date. Change of name of Railway Company provided for in Section 84 of act of 16th July 1846 then took effect and under Nottingham & Grantham Railway and Canal Act 15th May 1860, name was further changed to Nottingham and Grantham Railway and Canal Company.

By Great Northern and Ambergate companies (Working Arrangements) Act 1854 (called the company's third Act 1854), lease of undertaking to Great Northern Railway Company was authorised and this took effect for 999 years from 1st August 1861.

Under terms of London and North Eastern Railway Absorption (No.1) Scheme 29th June 1923, Nottingham and Grantham Railway and Canal Company was vested in London and North Eastern Railway Company as from 1st January 1923.
