Incorporated under act of 1865. On 10th December 1867, London Brighton & South Coast Railway Company filed bill in Chancery against Surrey & Sussex Junction Railway Company, but principal parties to that suit entered into agreement dated 1st May 1868 for reference to arbitration of matters in difference between them. Duke of Richmond acted as arbitrator and his award was dated 22nd March 1869 (copy annexed to London Brighton & South Coast Railway Act 1869).

Surrey & Sussex Junction Railway Company was amalgamated with London Brighton & South Coast Railway Company under London Brighton & South Coast & Surrey & Sussex Junction railway companies Amalgamation Act 12th July 1869. Under Railways (Southern Group) Amalgamation Scheme 1922, dated 22nd December 1922, London Brighton & South Coast Railway Company became part of Southern Railway Company.
