This series contains minutes of meetings of the Board of Directors and Shareholders, and of the Railway, Traffic, Finance, Locomotive Power, Permanent Way and Works, and other committees. It also includes a wide range of reports and correspondence, stock and share registers, deeds, agreements, contracts, specifications, estimates and plans, statistical material, locomotive and rolling stock records (including annual surveys and valuations of locomotives), petitions and memorials to directors, staff records and accountant's records, in addition to material relating to the New Shildon works and the New Shildon Mechanics Institute.

Incorporated by act of 19th April 1821.

By act of 23rd July 1858 the Middlesbrough & Redcar, Wear Valley, Middlesbrough & Guisbrough, and Darlington & Barnard Castle railway companies were amalgamated with the Stockton & Darlington Railway Company.

By act of 13th July 1863 the Stockton & Darlington Railway Company was amalgamated with the North Eastern Railway Company though the former company maintained a distinct management of its own system by a committee composed chiefly of its own Directors. By Section 35 of the Act the committee, termed "The Darlington Committee", was to continue from the date of the Act until 31st December 1873. The terms of appointment to this committee were, however, amended by section 28 of the North Eastern Railway Company (Consolidation of Stocks) Act 1870 by which the separate management of the Stockton & Darlington Railway became virtually extinguished.

Under the North Eastern and Hull & Barnsley railway companies Amalgamation Scheme 1922 dated 1st April 1922 the North Eastern Railway Company, the Hull & Barnsley Railway Company and the Hull Joint Dock Committee were dissolved and united into one company by the name of the North Eastern Railway Company. This North Eastern Railway Company became part of the London & North Eastern Railway Company as from 1st January 1923 under the North Eastern, Eastern and East Scottish Group Amalgamation Scheme 1922 dated 30th December 1922.
