Under South Staffordshire Junction Railway Act of 3rd August 1846, South Staffordshire Junction Railway Company was incorporated, and by section 72 was authorised to amalgamate with Trent Valley Midlands and Grand Junction Railway Company, which latter company was incorporated by Trent Valley Midlands and Grand Junction Railway Act of 3rd August 1846. Under this latter Act, Trent Valley Midlands and Grand Junction Railway Company was authorised to amalgamate with South Staffordshire Junction Railway Company, and Clause 51 provided that name of amalgamated company should thenceforth be as may be fixed upon by said two companies.

At first meeting of Board of Directors of amalgamated company held on 6th October 1846 "It was resolved that amalgamated company shall be called South Staffordshire Railway Company". Report of Directors dated 13th March 1847 recites that "Such amalgamation has now been completed by Deed under common seals of two original companies now forming one under name of 'South Staffordshire Railway Company'."

Under act of 15th July 1850, South Staffordshire Railway Company was authorised to lease undertaking to John Robinson M'Clean of 17 Great George Street, Westminster, Civil Engineer. At meeting of 5th August 1850, lease was granted for 21 years from 1st August 1850. Proprietors agreed as from 1st February 1861 to transfer lease to London and North Western Railway Company.

Under Section 77 of London and North Western Railway (New Works and Additional Powers) Act 15th July 1867, London and North Western Railway Company were within 12 months of passing of act to issue shares or stock of their company in substitution for shares or stock of South Staffordshire Railway Company, and upon such issue, under Section 79, South Staffordshire Railway Company was to be dissolved and vested absolutely in London and North Western Railway Company.

London and North Western Railway Company was vested in London Midland and Scottish Railway Company under North Western, Midland and West Scottish Group Amalgamation Scheme 1922 dated 30th December 1922.
