Incorporated as a Light Railway in 1892. Line was constructed under certificate issued by Board of Trade (London Gazette 11th July 1890) in pursuance of Railways Construction Facilities Act 1864, and worked by London and South Western Railway Company under agreement scheduled to their act of 1909.

Under Southern Railway (Lee on Solent Railway) Absorption Scheme 1923 dated 11th August 1923, Lee on the Solent Railway Company was transferred to and absorbed by Southern Railway Company from 1st Jan. 1923 and dissolved from 11th August 1923.
