The Bristol and Birmingham Railway Company was formed in 1845 by the amalgamation of the Birmingham & Gloucester Railway Company and the Bristol & Gloucester Railway Company. To carry this into effect a bill was read in Parliament and an agreement was made dated 14 January 1845.

The companies worked together under a committee of directors from March 1845 but under the Bristol & Birmingham and Midland Railway Act of 3 August 1846, those two companies were incorporated in and formed part of Midland Railway Company.
