The Brighton, Uckfield and Tunbridge Wells Railway Company was incorporated by the Brighton, Uckfield and Tunbridge Wells Railway Act of 22 July 1861.

At a meeting on 19 December 1864 it was agreed that the company should amalgamate with the London Brighton & South Coast Railway Company.
