The Birmingham, North Warwickshire and Stratford-upon-Avon Railway Company was incorporated under the Birmingham, North Warwickshire and Stratford on Avon Junction Railway Act of 25th August 1894.

The company was transferred to the Great Western Railway Company by the Great Western Railway Act of 30th July 1900.
