Incorporated on 25th April 1882 as a Private Limited Company, The Seaton Carew Iron Company Limited was founded with its chief interest to be iron and steel manufacturers with John Stephenson McGowan being appointed the company's first Chairman. The initial capital of the company was £100,000, divided into 1,000 shares of £100 each and later increased in 1917 to £160,000 following the further issuing of 600 Ordinary Shares also valued at £100 each. In 1919 the majority of the shares in the company were transferred to East Coast Steel Company Limited, a company set up by Benjamin Talbot. In 1924 new Articles of Association superseded those from 1882. In 1928 South Durham Steel and Iron Company Limited whose West Hartlepool works lay next to the Seaton Carew works purchased the entire share capital in the Company from the East Coast Steel Company.
