The company was registered as ?The Upton Colliery Ltd' on 22 November 1923. It was formed to acquire leasehold coal from the Upton area, situated between Doncaster and Pontefract in South Yorkshire, from the Cooperative Wholesale Society Ltd and her parties. Based in Cortonwood, Wombwell, near to Barnsley. The initial capital of the company was £300,000 in 300,000 issued in shares of £1 each with Bolckow, Vaughan and Company Ltd. and the Cortonwood Collieries Company Ltd. took up 150,000 shares each in the company.
The inaugural Directors' were HD McLaren, Chairman (Director of Bolckow Vaughan), Lord Aberconway (Director of Cortonwood), S Hare (General Manager Bolckow Vaughan and Co. Collieries), RD Kitson (Chairman of Bolckow Vaughan), FH Ponchin (Director of Cortonwood).
As part of Bolckow Vaughan's merger with Dorman Long in 1929, Upton Colliery Ltd became a co-concern (shared with Cortonwood), of Dorman Long, and on the 6 January 1930 the seal of Dorman Long was affixed for the transfer of Bolckow Vaughan's shares in Upton Colliery Ltd. In the period after the share transfer Dormans looked to develop the mining interest at Upton. In 1930, Dorman Long acquired the shares from Cortonwood held by Dorman Long's holding Company, The Dorman Long Holding's Trust Ltd. Once this was completed, Dorman Long had the controlling stake in the company.
The company was voluntarily liquidated in 1939 for the purpose of merging Dorman Long.
